OTHER EVENTS

In a press release issued on November 16, 2011, the Company announced that its Board of Directors has declared a cash dividend of $0.03 per share. The dividend will be paid on December 23, 2011, to stockholders of record as of December 9, 2011. The press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
