On November 10, 2011, Viacom Inc. (the “Company”) issued a press release announcing earnings for the full year and fourth quarter ended September 30, 2011. A copy of the press release is furnished herewith as Exhibit 99 and is incorporated by reference herein in its entirety.

On November 9, 2011, the Company’s Board of Directors authorized an increase to the aggregate amount of funds available to purchase shares of Class B Common Stock under the Company’s stock repurchase program, which was approved by the Board of Directors on June 9, 2010, from $4.0 billion to $10.0 billion.
