Item 5.02 – Departure of Directors and Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On November 4, 2011, Mr. Michael A. Stoessl, President of Cooper Power Systems, announced his intention to retire and will be leaving Cooper Industries in the first quarter of 2012. Mr. Stoessl has been President of Cooper Power Systems since 2005. Mr. Mark Thurman has been appointed as the new President of Cooper Power Systems. Mr. Thurman joined Cooper Power Systems in 2008 as Business Unit President for Switchgear and Regulator Products. Prior to joining Cooper, Mr. Thurman was General Manager for the Heavy Duty Transmission business at Eaton Corporation and prior to that he held positions of progressively increasing responsibility in Operations and Engineering with Delphi, Allied Signal, United Technologies and General Electric.
