MagneGas Announces Completion of $3,146,000 Private Placement Transaction

Tarpon Springs, Florida November 8, 2011 – MagneGas Corporation (“MagneGas” or the “Company”) (OTC BB: MNGA), the producer of a technology that converts liquid waste into a hydrogen-based metal working fuel and natural gas alternative, today announced the second and final closing of the previously announced definitive agreement to sell $2,746,000 of shares of its common stock and warrants to purchase additional shares of its common stock in a private placement transaction, which closed on October 28, 2011.  In the closing announced today, the Company entered into a definitive agreement with investors to sell an additional 2,500,000 shares of its common stock and warrants to purchase 2,500,000 shares of its common stock at a purchase price of $0.16 per unit, resulting in gross proceeds to the Company of $400,000, before deducting placement agent fees and other offering expenses.

In connection with the private placement transaction, the Company has issued a total of 19,662,500 shares of common stock at a purchase price of $0.16 per share along with warrants to purchase an additional 19,662,500 shares of common stock at an exercise price of $0.30 per share and has received aggregate gross proceeds of $3,146,000, before deducting placement agent fees and other offering expenses.  The warrants are exercisable immediately and expire in five years.  The Company is required to file a resale registration statement within 45 days of the initial closing that occurred on October 28, 2011 to cover the resale by the investors of the shares and the shares issuable upon exercise of the warrants.

Proceeds from the private placement will be used for the installation of refinery filling stations in Detroit, which are wholly owned and operated by MagneGas Corporation, as well as significantly expand the Company’s fuel cylinder inventory to satisfy larger orders.
