Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On November 3, 2011, Pike Electric Corporation (the “Company”) held its 2011 Annual Meeting of Stockholders (the “Annual Meeting”). At the Annual Meeting, the Company’s stockholders approved an amendment and restatement of the Company’s 2008 Omnibus Incentive Compensation Plan (the “2008 Plan,” as amended and restated, the “Amended 2008 Plan”), which among other things added 2,500,000 shares of the Company’s common stock to the pool of shares available for awards. The Amended 2008 Plan is substantially similar to the 2008 Plan, other than to increase the share pool and to extend the 2008 Plan’s term by four years from December 31, 2017 to December 31, 2021. A description of the material terms and conditions of the Amended 2008 Plan appears on pages 42-51 of the Company’s definitive proxy statement for the Annual Meeting filed with the Securities and Exchange Commission on September 23, 2011 (the “Proxy Statement”). The Amended 2008 Plan is filed as Exhibit 10.1 to this Form 8-K and the terms thereof are incorporated herein by reference.
