Section 5 – CORPORATE GOVERNANCE AND MANAGEMENT

Item 5.02  Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

    In anticipation of the closing of the transactions contemplated in the Agreement and Plan of Merger by and among Duke Energy Corporation (Duke), Diamond Acquisition Corporation, and Progress Energy, Inc. (the “Company), and the transition to Duke's employment practices for executives, on October 31, 2011, the Company notified William D. Johnson, Jeffrey J. Lyash, John R. McArthur, Mark F. Mulhern and Lloyd M. Yates (each a named executive officer of the Company) that it will not renew their employment agreements upon expiration of the current terms. This action does not affect the executives participation in the Companys executive compensation plans, including the Progress Energy, Inc. Management Change-in-Control Plan.
