Item 3.02 Unregistered Sales of Equity Securities
On September 30, 2011 the Registrant issued a total of 20,000,000 shares of common stock of the Issuer to Jacob Elhadad, President of the Issuer. The shares of common stock issued were for additional compensation pursuant to an agreement between the Issuer and Mr. Elhadad, due to the decline in the market price of the Issuers common stock previously issued to Mr Elhadad.
The shares were sold without registration under Section 5 of the Securities Act of 1933 in reliance on the exemption from registration contained in Section 4(2) of the Securities Act.
