Item 8.01 Other Events
On October 31, 2011, Dietrich Industries, Inc. (“Dietrich”), a subsidiary of Worthington Industries, Inc., sold substantially all of the assets of its Vinyl Corp. business to ClarkWestern Dietrich Building Systems LLC, an Ohio limited liability company, which is a joint venture which Dietrich has a 25% ownership interest.
