INFORMATION TO BE INCLUDED IN THE REPORT

Item 2.02                         Results of Operations and Financial Condition.

On November 1, 2011, Peapack-Gladstone Financial Corporation issued a press release reporting earnings and other financial results for its third quarter of 2011, which ended September 30, 2011. A copy of the press release is attached to this Current Report on Form 8-K as Exhibit 99.1 and is incorporated by reference in its entirety.

The Corporation’s 2011 third quarter press release contains certain supplemental financial information, described in the Financial Data included in Exhibit 99, which has been determined by methods other than U.S. Generally Accepted Accounting Principles (“GAAP”). Management internally reviews each of these non-GAAP financial measures to evaluate performance on a comparative period to period basis. Management believes these non-GAAP financial measures provide information useful to investors in understanding the Corporation’s financial results, the impact of such non-GAAP financial measures on the Corporation’s operating results and financial condition.

The information disclosed under this Item 2.02, including Exhibit 99.1, shall be considered “furnished” but not “filed” for purposes of the Securities Exchange Act of 1934, as amended.
