Item 5.02 Departure of Director or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On October 24, 2011, Kymberlyn K. Janney notified Behringer Harvard Opportunity REIT II, Inc. (the Company) of her decision to resign, effective November 30, 2011, as the Chief Financial Officer, Chief Accounting Officer and Treasurer of the Company and all other officer positions with the Companys advisor, Behringer Harvard Opportunity Advisors II, LLC (the Advisor), and its affiliates. Ms. Janney, who was employed by the Advisor in July 2010 as Senior Vice President of Financial Administration and became Chief Financial Officer and Treasurer and principal accounting officer of the Company in November 2010, resigned to pursue another business opportunity. The Company intends to initiate an immediate search to replace Ms. Janney.
