Item 2.02 Results of Operations and Financial Condition.

 

On October 27, 2011, Washington Banking Company announced by press release its earnings for the third quarter ending September 30, 2011. A copy of the press release is attached hereto as Exhibit 99.1.

Item 8.01 Other Events.

 

On October 24, 2011, Washington Banking Company announced that the Board of Directors declared a cash dividend of $0.05 per common share, payable November 21, 2011 to shareholders of record on November 3, 2011.
