Item 8.01 Other Events.
The Board of Directors (the "Board") of Erie Indemnity Company (the "Company") at its meeting on October 26, 2011, approved a continuation of the Company's share repurchase program to repurchase up to $150 million of its outstanding Class A common stock, effective immediately and with no time limitation. This amount includes, and is not in addition to, any unspent amounts remaining under the current program. A copy of the press release announcing the Board's action is attached hereto and is incorporated herein by reference as Exhibit 99.1.
