Item 8.01 Other Events.

The waiting period under the Hart-Scott-Rodino Antitrust Improvements Act of 1976, as amended, relating to the proposed acquisition by Broadcom Corporation of NetLogic Microsystems, Inc. expired on October 20, 2011. The proposed acquisition remains subject to clearance by the Chinese Ministry of Commerce under the Chinese Antimonopoly Law and clearance or no-jurisdiction decision by the Taiwanese Fair Trade Commission under the Taiwanese Fair Trade Law of 1991, as amended, as well as other customary closing conditions, including the approval of NetLogic Microsystems' stockholders.
