On October 18, 2011, Mr. David H. Batchelder, a member of the Board of Directors of Intuit Inc. (the “Company”), notified the Company of his decision not to stand for re-election at the Company’s January 2012 Annual Meeting of Shareholders. Mr. Batchelder did not cite any disagreement on any matter relating to the Company’s operations, policies or practices.
