EXPLANATORY NOTE
 
This Current Report on Form 8-K/A (“Amendment”) is being filed as an amendment to the Current Report on Form 8-K filed by Checkpoint Systems, Inc. (the “Company”) with the United States Securities and Exchange Commission on June 9, 2011 (the “Original Report”).  The sole purpose of this Amendment is to disclose the Company’s decision as to how frequently the Company will include in its proxy materials an advisory shareholder vote on executive compensation.  No other changes have been made to the Original Report.
 
Section 5 — Corporate Governance and Management
 
ITEM 5.07.  SUBMISSION OF MATTERS TO A VOTE OF SECURITY HOLDERS.

At the Company’s Annual Meeting of Shareholders held on June 8, 2011, the shareholders voted on a proposal to approve, on an advisory basis, the frequency of future advisory votes on executive compensation.  As previously reported in the Original Report, a plurality of votes were cast in favor of holding this vote once every year.  In accordance with Item 5.07(d) of Form 8-K, the Company now reports that, after considering the outcome of this advisory vote, the Board of Directors has determined that the Company will hold an advisory vote on executive compensation once every year until the next required advisory vote on the frequency of the same, which is no later than the Company’s annual meeting of shareholders in 2017.
