Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On October 13, 2011, Johnson Bank informed the Federal Home Loan Bank of Chicago (the “Bank”) that Russell C. Weyers' employment with Johnson Bank will terminate, effective November 15, 2011. The Bank's member directors are required by regulation to be an officer or director of a member of the Bank. As a member director, Mr. Weyers will no longer be eligible to serve on the Bank's Board of Directors upon the termination of his employment with Johnson Bank. Therefore, effective November 15, 2011, Mr. Weyers will no longer be a member of the Bank's Board of Directors.
