(b) On October 6, 2011, Roger L. Ogden notified the Board of Directors (the "Board") of Fisher Communications, Inc. (the "Company") of his decision to resign from the Board effective October 7, 2011. Mr. Ogden’s resignation was not due to any disagreement with the Company or the Board. Mr. Ogden, a director of The E.W. Scripps Company ("Scripps") since 2008, resigned from the Board as a result of Scripps’ October 3, 2011 agreement to acquire the television station group owned by McGraw-Hill Broadcasting, which includes KERO and KZKC in Bakersfield, California. Because the Company owns and operates KBAK-TV and KBFX-CA in Bakersfield, Mr. Ogden’s resignation was made to ensure Scripps’ continued compliance with the Federal Communications Commission’s media ownership rules after the closing of its acquisition of the McGraw-Hill Bakersfield stations.
