Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
As previously reported, on July 26, 2011, the Board of Directors of OGE Energy Corp. elected a new director, Ms. Judy R. McReynolds. At the time of the filing of the original Form 8-K reporting Ms. McReynolds' election to the Board of Directors, it had not been determined on which committees she would serve. On September 28, 2011, the Board of Directors appointed Ms. McReynolds to the Nominating and Corporate Governance Committee and the Compensation Committee of the Board of Directors.
