The Board of Directors (the “Board”) of Francesca’s Holdings Corporation (the “Company”) has elected Patricia A. Bender to be a member of the Board, effective October 1, 2011. Ms. Bender will serve on the Audit Committee of the Board. A copy of the press release issued by the Company, dated September 28, 2011, announcing the election of Ms. Bender to the Board is included as Exhibit 99.1 to this report.
