ITEM 2.03 CREATION OF A DIRECT FINANCIAL OBLIGATION OR AN OBLIGATION UNDER AN OFF-BALANCE SHEET ARRANGEMENT OF A REGISTRANT.
 
On September 30, 2011, PLX Technology, Inc. (the “Company”) entered into a $10 million revolving loan facility with Silicon Valley Bank.  The facility is secured by liens on the Company’s personal property assets except for intellectual property, which is subject to a negative pledge against encumbrance.
 
The facility provides for revolving advances based on a borrowing-base formula tied to the Company’s receivables and also provides for month-end and fiscal quarter-end advances beyond the borrowing-base formula subject to certain limitations and requirements.  The facility contains a letter-of-credit subfacility.
 
Interest on advances under the facility accrues at a floating rate equal to the prime rate announced from time to time in The Wall Street Journal.  The facility also provides for commitment, unused facility and letter-of-credit fees.
