ITEM 5.02                                     Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On September 27, 2011, ACNB Corporation (the “Corporation”) announced that Lynda L. Glass, Executive Vice President & Secretary of the Corporation and Executive Vice President, Secretary & Chief Operating Officer of ACNB Bank, the wholly-owned subsidiary of the Corporation (the “Bank”), has been designated Chief Governance Officer of the Corporation and Chief Risk Officer of the Bank. Upon her appointment as Chief Risk Officer, Ms. Glass no longer serves as Chief Operating Officer of the Bank.
