Item 8.01. Other Events
On September 27, 2011, TE Connectivity Ltd. (the “Company”) issued a press release announcing its board of directors’ decision to recommend for approval by shareholders at the Company’s Annual General Meeting of Shareholders in March 2012 a 17% increase in the quarterly dividend from $0.18 per share to $0.21 per share for the four fiscal quarters beginning with the third fiscal quarter of 2012. The press release also announced the board of directors’ decision to authorize an increase in the Company’s share repurchase program by $1.5 billion. A copy of the press release is attached as Exhibit 99.1 and is incorporated herein by reference.
