Closing of Public Offering
On September 28, 2011, EnteroMedics Inc. (the “Company”) issued a press release announcing the closing of its underwritten public offering of common stock and warrants (the “Offering”). A copy of this press release is filed as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference.
Updated Risk Factors
The Prospectus Supplement dated September 23, 2011 filed by the Company in connection with the Offering contains updates to the risk factors contained in the Company’s Annual Report on Form 10-K for the fiscal year ended December 31, 2010, which was filed with the Securities and Exchange Commission on March 7, 2011. A copy of the updated risk factors is filed herewith as Exhibit 99.2 and is incorporated herein by reference.
