Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
The Board of Directors of Registrant has accepted the resignation of Gary D. Reed, as Chairman of Registrant, and as President and CEO, effective September 22, 2011. Hong-Shin
Pan, who has been serving as Secretary of Registrant, was appointed to succeed him and will serve as Director, Chairman, President and CEO of Registrant, effective September 22, 2011.
Mr. Reed advised Registrant that he was resigning for personal reasons and to pursue other interests, and there were no disagreements or disputes with Mr. Reed on any matter dealing with the Company’s operations, policies or practices.
