Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements for Certain Officers.
On September 21, 2011, the Compensation Committee of the Board of Directors of PowerSecure International, Inc., a Delaware corporation (the “Company”), adopted two new forms of Stock Option Agreements under the PowerSecure International, Inc. 2008 Stock Incentive Plan (the “2008 Plan”), which provides for the grant of equity awards to the officers, directors, employees, advisors and consultants of the Company. These new forms of Stock Option Agreements, a form of Non-Qualified Stock Option Agreement for employees and a form of Non-Qualified Stock Option Agreement for directors, provide for an additional method of exercising stock options granted under the 2008 Plan through net option exercises and also clarify the arrangements for satisfying withholding tax requirements in connection with stock option vesting and exercises.
The new forms of Stock Option Agreements are filed with this report as Exhibit 10.2 and Exhibit 10.3, and are incorporated by reference.
