On September 9, 2011, the Board of Directors of ShengdaTech, Inc. (the “Company”) received notification from Mr. Xiangzhi Chen that effective immediately, he resigned as a member and as Chairman of the Board of Directors of the Company. A copy of Mr. Chen’s resignation letter is included with this Current Report on Form 8-K as Exhibit 17.1 and is incorporated herein in its entirety by reference.
