Item 5.02   Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers
     (e) On September 13, 2011, the stockholders of The Advisory Board Company (the “Company”) voted at the Company’s 2011 annual meeting of stockholders to approve an amendment to The Advisory Board Company Amended and Restated 2009 Stock Incentive Plan (the “Incentive Plan”) which increased the total number of shares of the Company’s common stock originally authorized for issuance under the Incentive Plan by 1,250,000 shares from 1,055,000 shares to a total of 2,305,000 shares. The Incentive Plan provides for the grant of stock options, restricted stock, stock units, stock appreciation rights, performance awards and other stock-based and cash-based awards to officers and other employees of the Company and its subsidiaries, as well as to certain directors and service providers. The Board of Directors of the Company approved the foregoing amendment on July 26, 2011.
     A copy of the Incentive Plan, including Section 5(a) as amended by the amendment described above, is filed as Exhibit 10.1 to this report and is incorporated by reference in this Item 5.02.
Item 5.07 Submission of Matters to a Vote of Security Holders
     (a) The Company held its 2011 annual meeting of stockholders on September 13, 2011. At the 2011 annual meeting, the Company’s stockholders voted on five proposals. The proposals are described in the Company’s definitive proxy statement on Schedule 14A for the 2011 annual meeting filed with the Securities and Exchange Commission on July 28, 2011.
     (b) The final voting results with respect to each proposal voted upon at the 2011 annual meeting are set forth below.

     The Company’s stockholders elected by a plurality of the votes cast each of the eight nominees named in the proxy statement to the Board of Directors for a one-year term expiring at the Company’s 2012 annual meeting of stockholders or until their respective successors are duly elected and qualified or until their earlier resignation or removal, as set forth below:

     (d) In light of the stockholder vote at the 2011 annual meeting on proposal 5 as reported above, the Company’s Board of Directors has determined that the Company will include a non-binding, advisory vote in its proxy materials to approve the Company’s compensation of its named executive officers as disclosed in such proxy materials (a “say-on-pay vote”) every 1 year until the next required vote on the frequency of stockholder votes on the compensation of the Company’s named executive officers.
