Item 8.01 Other Events

Fuelstream, Inc. (the "Company") announced that it intends to issue, in the near future, an aggregate of up to 9,400,000 new shares of restricted common stock in respect of (i) a contemplated acquisition of Aviation Fuel International, Inc. (ii) in connection with various employment and service agreements expected to be consummated by the Company, and (iii) the conversion into common stock of certain longstanding debts of the Company. If all such new shares are issued, the Company would have approximately 10.1 million shares of common stock issued and outstanding.
