ITEM 7.01. REGULATION FD DISCLOSURE.

On August 26, 2011, Fitch Ratings (“Fitch”) upgraded the senior secured credit rating of Oncor Electric Delivery Company LLC (“Oncor”) to “BBB+” from “BBB”. Fitch also upgraded Oncor’s long-term issuer default rating to “BBB” from “BBB-”. Fitch affirmed Oncor’s short-term issuer default rating at F3. A rating reflects only the view of a rating agency, and is not a recommendation to buy, sell or hold securities. Any rating can be revised upward or downward at any time by a rating agency if such rating agency decides that circumstances warrant such a change.

This report is being furnished by Oncor Electric Delivery Transition Bond Company LLC (the “Company”) pursuant to Section 3.07(h) of the Indenture dated as of August 21, 2003 (the “Indenture”) between the Company, as Issuer, and The Bank of New York Mellon (formerly The Bank of New York), as Indenture Trustee. Oncor is the parent of the Company and serves as the Servicer (as defined in the Indenture) of all outstanding bonds issued by the Company pursuant to the Indenture.
