On August 15, 2011, the Registrant’s employment agreement with Robert. Fugerer, an executive officer of the Registrant, terminated by its terms based upon the Registrant’s election not to renew it. Mr. Fugerer’s employment with the Registrant continued thereafter until August 24, 2011, when Mr. Fugerer resigned and his employment with the Company terminated.
