Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers
Steven W. Thomas, a member of the Board of Directors of the Company and its subsidiaries, has tendered his resignation from all board and committee positions on August 24, 2011, effective September 1, 2011. Mr. Thomas has relocated from the Company’s service area in Upstate New York to Sedona, Arizona. He has also increased his business activities in his new hometown and has determined that he cannot adequately serve the Company remotely. Mr. Thomas’ term expires in 2013 and the board of directors will be considering nominating someone to fill the vacancy for the rest of his term pursuant to the company’s by-laws and governance guidelines.
