Explanatory Note

       This Current Report on Form 8-K/A amends the registrant’s Current Report on Form 8-K filed on June 14, 2011, announcing the final voting results of the matters acted upon by shareholders at the registrant’s Annual Meeting of Shareholders held on June 8, 2011 (the “Annual Meeting”).

Item 5.07                      Submission of Matters to a Vote of Security Holders.
 
       On August 23, 2011, the Board of Directors of Cabela’s Incorporated (the “Company”) determined, in light of the voting results at the Annual Meeting as to how frequently the Company should hold an advisory vote on executive compensation, to hold an advisory vote on executive compensation every year until the next vote on the frequency of such advisory votes.
