Item 1.01 Entry into a Material Definitive Agreement
On August 25, 2011, TRX Fulfillment Services, LLC. (“TRX”), a wholly-owned subsidiary of TRX, Inc., entered into Amendment 4 (the “Amendment”) to the Service Agreement between TRX and American Airlines, Inc., dated December 23, 2002 and amended on February 1, 2006, June 27, 2008, and June 29, 2011 (the “Agreement”). The Amendment, effective September 1, 2011, extends the initial term of the Agreement to August 31, 2014 and updates certain pricing and other terms of the Agreement.
