Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangement of Certain Officers.
On August 16, 2011, Mr. Terry L. Orr, Vice President and General Manager of the Power Transmission Division of Lufkin Industries, Inc. (the “Company”), announced his intention to retire from the Company effective January 1, 2012. Prior to his retirement date, it is planned that Mr. Orr will transition his duties to his successor on September 30, 2011, from which time he will cease performing oversight duties with respect to the Power Transmission Division and remain as a non-officer employee of the Company in a support capacity. At this time, the Company has not named a successor to Mr. Orr.
