Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of
Certain Officers; Compensatory Arrangements of Certain Officers.
On August 19, 2011, Anthony F. Earley, Jr. advised the President and Chief Executive Officer
of the Company that, in connection with his upcoming appointment as the Chairman, CEO, and
President of PG&E Corporation, the parent company of California utility Pacific Gas & Electric, he
intends to step down from the Company’s Board of Directors. The Company and Mr.
Earley are working together to assure a smooth transition as Mr. Earley concludes his Board service
with the Company. A date for Mr. Earley’s resignation from the Board has not yet been determined.
