Departure of Directors or Certain Officers; election of Directors; Appointment of certain Officers; Compensatory Arrangements of Certain Officers.

On August 17, 2011, Donald R. Neff resigned from the Boards of Directors of Delanco Bancorp, Inc. (the "Company") and its wholly-owned subsidiary, Delanco Federal Savings Bank. At the time of the resignation, there were no disagreements between Mr. Neff and the Company on any matter relating to the Company’s operations, policies and practices. The resignation is effective as of August 22, 2011.
