Item 5.02 — Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers
On August 16, 2011, the Compensation Committee of the Board of Directors of Harris Interactive Inc. (the “Company”) awarded a $60,000 retention bonus to Eric W. Narowski, the Company’s Interim Chief Financial Officer. The retention bonus was awarded to encourage Mr. Narowski’s continued service to the Company during a transition period following the recent change in Chief Executive Officer of the Company, and is payable in four cash installments of $15,000 on or about September 15, 2011, December 15, 2011, March 15, 2012 and June 15, 2012, provided, in each case, that Mr. Narowski is employed by the Company on such date.
