Item 8.01. Other Events.
On August 22, 2011, Allied World Assurance Company Holdings, AG issued a
press release announcing that it has set September 20, 2011 as the date for the extraordinary
general meeting of its shareholders to consider and vote on proposals
related to the previously announced agreement and plan of merger with Transatlantic Holdings, Inc. A
copy of the press release is attached hereto as Exhibit 99.1 and is incorporated by reference
herein.
