Item 8.01.  Other Events.

On August 16, 2011, Renaissance Learning, Inc. (the “Company”) made the communications to its employees regarding the Agreement and Plan of Merger by and among Raphael Holding Company (the “Parent”), Raphael Acquisition Corp. (the “Merger Sub”) and the Company dated as of August 15, 2011 attached hereto as Exhibits 99.1, 99.2 and 99.3.  The Parent and the Merger Sub are affiliates of investment funds advised by Permira Advisers LLC (the “Permira Funds”).
