Item 7.01                      Regulation FD Disclosure

On August 16, 2011, Cole Credit Property Trust III, Inc. (the “Company”) sent a letter to financial advisors and broker-dealers announcing that the Company’s board of directors has approved closing the Company’s current public offering within approximately six months, and other recent developments. The Company expects that the closing will occur on or around February 29, 2012.  A copy of the letter is attached as Exhibit 99.1 hereto and is incorporated into this Current Report on Form 8-K in its entirety.
