Item 1.01 Entry into a Material Definitive Agreement.
On August 9, 2011, Local.com Corporation (the Registrant) entered into Amendment No. 3 (the
Third Amendment) to the SuperMedia Superpages Advertising Distribution Agreement, dated April 1,
2010, as amended by Amendment No. 1 dated as of September 30, 2010 and Amendment No. 2 dated as of
April 4, 2011 (collectively, the Agreement), with SuperMedia LLC, a Delaware limited liability
company (SuperMedia). The Amendment modifies certain compensation structures of the Agreement
with respect to PFP Ads distributed by Registrant, settles certain disputed matters under the
Agreement, and provides each of Registrant and SuperMedia with certain additional termination
rights, among other things.
The foregoing description of the Agreement is qualified in its entirety by reference to the full
text of the Agreement which is filed as Exhibit 10.1 with portions omitted and filed separately
with the Securities and Exchange Commission pursuant to a request for confidential treatment.
Exhibit 10.1 is a redacted copy of the Agreement and is incorporated herein by reference.
