On August 15, 2011, Google Inc. (Google) and Motorola Mobility Holdings, Inc. (Motorola) issued a joint press release announcing that they had entered into a definitive agreement pursuant to which Google will acquire Motorola. The full text of the press release is attached as Exhibit 99.1 to this Form 8-K and is incorporated herein by reference.
