Item 5.07 Submission of Matters to a Vote of Security Holders.

At the Company’s 2011 Annual Meeting of Shareholders held on April 18, 2011, the Company’s shareholders approved, on an advisory basis, to hold the advisory shareholder vote on the compensation of the Company’s named executive officers on an annual basis. In light of these results, the Company’s Board of Directors determined at a meeting held on August 15, 2011, that the Company will hold a non-binding advisory vote on the compensation of the Company’s named executive officers every year until the next shareholder advisory vote on this matter.
