Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

     On August 2, 2011, the compensation committee of the board of directors of Concho Resources Inc. (the “Company”) approved a grant of 5,107 shares of restricted stock to Darin G. Holderness, the Company’s Senior Vice President, Chief Financial Officer and Treasurer, in connection with his relocation to Midland, Texas. The shares of restricted stock, which were issued under the Company’s 2006 Stock Incentive Plan, vest in three equal annual installments beginning on August 2, 2012.
