Results of Operations and Financial Condition.

On August 2, 2011, Middleburg Financial Corporation (the “Company”) issued a press release reporting its financial results for the period ended June 30, 2011. A copy of the press release is being furnished as Exhibit 99.1 to this report and is incorporated by reference into this Item 2.02.

On August 2, 2011, the Company announced the declaration of a cash dividend of $0.05 per share. The dividend is to be paid on August 26, 2011 to shareholders of record as of August 12, 2011.
