Other Events.

On August 3, 2011, American Defense Systems, Inc. (the “Company”) issued a press release announcing that NYSE Amex, LLC (the “Exchange”) has accepted the Company’s plan of compliance, submitted to the Exchange in response to a deficiency letter from the Exchange. The deficiency letter was previously disclosed by the Company on a Form 8-K filed on May 20, 2011.
The full text of the press release is attached hereto as Exhibit 99.1.
