ITEM 5.02 APPOINTMENT OF AUDIT COMMITTEE MEMBER.
On July 28, 2011, our board of directors appointed Jefferson Thachuk as a member of our audit committee. Accordingly, the current members of our audit committee are Jefferson Thachuk, Kenneth Bogas and David Holmes. Neither Mr. Bogas nor Mr. Holmes serve as officers. Therefore, Mr. Bogas and Mr. Holmes are deemed independent. Mr. Thachuk serves as our president, principal executive officer, secretary, treasurer, principal financial officer, and principal accounting officer. Therefore, Mr. Thachuk is not deemed independent.
