Item 5.07. Submission of Matters to a Vote of Security Holders.

In its Current Report on Form 8-K filed on May 3, 2011, Duke Realty Corporation (the “General Partner”), the sole general partner of Duke Realty Limited Partnership, reported the results of the General Partner’s Annual Meeting of Shareholders held on April 27, 2011 (the “Annual Meeting”). At the Annual Meeting, a majority of the votes cast by shareholders voted, on an advisory basis, to hold an advisory vote to approve executive compensation every year. In line with this recommendation by management and the General Partner’s shareholders, the Board of Directors has decided that it will include an advisory shareholder vote on executive compensation in its proxy materials every year until the next required advisory vote on the frequency of shareholder votes on executive compensation, which will occur no later than the General Partner’s Annual Meeting of Shareholders in 2017.
