Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On July 26, 2011, the Board of Directors of OGE Energy Corp. (the "Company") elected a new director, Ms. Judy R. McReynolds. Ms. McReynolds, President and Chief Executive Officer of Arkansas Best Corporation, a motor carrier freight transportation company, was elected, effective at the next Board meeting, to a term expiring at the Company's Annual Meeting of Shareowners scheduled for May 17, 2012, at which time she is expected to be nominated for approval by the Company's shareowners. It has not yet been determined on which committees of the Board Ms. McReynolds will serve. Ms. McReynolds will receive compensation for her Board service consistent with the compensation received by the Company's other non-employee directors, prorated from the commencement of her service on the Board and committees on which she will serve.
