Item 2.02. Results of Operations and Financial Condition.

     This Current Report on Form 8-K includes as an exhibit a press release, dated July 26, 2011, reporting the financial results of CIT Group Inc. as of and for the quarter ended June 30, 2011. The press release is attached as Exhibit 99.1. This press release includes certain non-GAAP financial measures. A reconciliation of those measures to the most directly comparable GAAP measures is included as a table to the press release. The information furnished under this Item 2.02, including Exhibit 99.1, shall be considered filed for purposes of the Securities Exchange Act of 1934, as amended.

Item 8.01. Other Events.

     During June and July 2011, CIT’s rail business entered into commitments with three railcar manufacturers to purchase 5,000 railcars, at an aggregate purchase price of approximately $475 million. The commitments include 1,750 railcars that were subject to an option to purchase that CIT held related to a railcar purchase agreement entered into in February 2011. The railcars covered by the new commitments are comprised of covered hopper cars and tank cars and will be delivered primarily in 2012. CIT Rail has lease commitments for approximately one-third of these railcars.
